Plain-English summary

We’re a marketplace, not a rental company — the rental contract is between you and the other party. Bids are binding offers. Once a bid is awarded, both sides commit. We charge a 5% platform fee on completed transactions. Payments go through PayMongo. Most disputes start with you and the counterparty; we step in if you can’t resolve it. 1. Agreement

These Terms of Service (“Terms”) form a legally binding agreement between you and equipments.rent Technologies Inc. (“equipments.rent,” “we,” or “the Platform”), a corporation registered in the Philippines.

By creating an account or using the Platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. What the Platform Is

equipments.rent is an online marketplace that connects renters of equipment, vehicles, and assets (“Renters”) with persons or businesses that own such items and rent them out (“Lessors”). The Platform supports a reverse-auction model: Renters post a request, Lessors place competing bids, and the Renter awards the bid of their choice.

We are a marketplace, not a lessor. We do not own, lease, store, transport, operate, insure, inspect, or guarantee the equipment listed by Lessors. The contract for each rental is between the Renter and the Lessor directly. Our role is to facilitate that contract, process payments, and provide platform services.

3. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Philippine law. If you act on behalf of a business, you confirm that you are authorized to bind that business to these Terms.

You must provide accurate, current, and complete information when creating an account. We may suspend or terminate accounts that contain false information or whose KYC verification fails.

4. Account Responsibility

You are responsible for everything that happens under your account, including bids placed and rentals booked. Keep your sign-in credentials confidential. Notify us immediately at security@equipments.rent if you suspect unauthorized access.

Magic-link emails expire after 10 minutes. You should sign out from shared devices.

5. KYC Verification

Lessors and Renters may be required to complete identity verification before posting listings or awarding bids. Acceptable documents include valid government-issued ID, business permit, SEC or DTI registration, and BIR certificate.

We may approve, reject, or request additional documents at our discretion. Verification helps us comply with the Anti-Money Laundering Act and protect users from fraud. Verified users display a badge on their profile.

6. Listings and Rental Requests

For Lessors: Listings must accurately describe the item’s make, model, year, condition, specifications, and location. You are responsible for ensuring you have the legal right to rent the item, that it is in safe operating condition, and that all required permits, registrations, and operator licenses are current.

For Renters: Rental requests must describe genuine needs. You may not post requests to gather competitive intelligence, harass Lessors, or for any purpose other than securing an actual rental.

We reserve the right to remove listings or requests that violate these Terms, contain false information, infringe third-party rights, or are otherwise inappropriate.

7. Bids and Awards

A bid is a binding offer. Once a Lessor places a bid, they commit to delivering the equipment at the bid price and dates if the Renter awards the bid. A Lessor may withdraw a bid only before it is awarded.

Once a Renter awards a bid, both parties enter into a rental agreement governed by these Terms and any additional terms the parties agree to in writing. The Renter must pay the platform within the time stated in the award confirmation. The Lessor must prepare and deliver the equipment as specified.

Failure by either party to honor an awarded bid may result in suspension and a permanent record on the user’s public profile.

8. Fees and Payments

Platform fee. equipments.rent charges a platform fee equal to 5% of the awarded rental value, deducted from the payment to the Lessor at settlement. The fee is disclosed before each transaction and may be adjusted with prior notice.

Payment processing. Renters pay through PayMongo (GCash, Maya, debit/credit card, or BillEase). Funds are received by the Platform and released to the Lessor’s registered account upon successful rental start, less the platform fee.

Currency. All transactions are in Philippine Pesos (PHP). Foreign cards may incur conversion fees from the issuer.

Refunds. Refunds are governed by Section 10 (Cancellations and Refunds).

Taxes. Each party is responsible for their own tax compliance. equipments.rent issues an OR for the platform fee component; the Lessor is responsible for issuing an OR/Invoice to the Renter for the rental value, in compliance with BIR rules.

9. Rental Contract Between Users

The rental contract is between the Renter and the Lessor. The Lessor warrants that the equipment is fit for the stated use; the Renter agrees to use it within the agreed scope and return it in the same condition (normal wear excepted). Disputes about equipment quality, damage, or non-delivery are between the parties.

We will assist in good faith with dispute resolution by reviewing on-platform records (messages, photos, signed documents). We are not arbitrators and our decisions are non-binding unless both parties agree.

10. Cancellations and Refunds

Before payment: a Renter may cancel an awarded bid before paying. The Lessor will be notified.

After payment, before rental start: cancellations follow the cancellation policy stated by the Lessor in the listing or, if not stated, default to a 50% refund up to 24 hours before start.

After rental start: no refund unless the Lessor materially failed to deliver. Disputes go through Section 13 (Disputes).

Approved refunds are returned to the original payment method within 7 business days.

11. Reviews and Ratings

After a rental, both parties may leave a written review and a 1–5 star rating. Reviews must be honest and based on the actual rental experience. We may remove reviews that contain personal attacks, profanity, threats, false information, or that violate any third party’s rights.

Reviews are public. They contribute to a user’s aggregate rating shown on their profile.

12. Prohibited Conduct

You may not, directly or indirectly: post false or misleading listings or requests; use the Platform for items you do not have the right to rent; circumvent the platform fee by completing booked transactions off-platform; manipulate bids through coordinated behavior or sock-puppet accounts; post content that is unlawful, defamatory, obscene, threatening, or that infringes others’ rights; transmit malware, viruses, or attempt to compromise platform security; scrape data, reverse-engineer the Platform, or use automated systems other than approved APIs; impersonate another person or entity; use the Platform for money laundering, terrorism financing, or any activity prohibited under Philippine law.

Violations result in account suspension or termination, and where serious, referral to law enforcement.

13. Disputes Between Users

If you have a dispute with another user, contact them first through the Platform messaging system. If you cannot resolve it, file a dispute report at support@equipments.rent. Include order details, dates, photos, and any relevant correspondence.

We will review the report and, where appropriate, freeze related funds in escrow pending resolution. If we find clear evidence of breach by one party, we may issue a refund, release of funds, or account suspension. Either party retains the right to pursue legal remedies in Philippine courts.

14. Intellectual Property

The Platform, including its design, code, logo, and content we create, is owned by equipments.rent Technologies Inc. and protected under Philippine and international intellectual property law.

You retain ownership of content you post (listings, photos, reviews) but grant us a non-exclusive, worldwide, royalty-free license to host, display, copy, and distribute that content as needed to operate and promote the Platform. This license ends when you delete the content, except where retention is needed for legal records.

15. Limitation of Liability

To the maximum extent allowed by Philippine law, equipments.rent is not liable for: equipment damage, personal injury, or property loss arising from rentals; conduct of other users; service interruptions, data loss, or unauthorized access despite reasonable safeguards; lost profits, business interruption, or indirect/consequential damages.

Our aggregate liability for any claim relating to your use of the Platform is limited to the lesser of: (a) the platform fees you paid us in the 12 months before the event giving rise to the claim, or (b) PHP 50,000.

Nothing in these Terms limits liability that cannot be excluded under Philippine law (e.g. liability for fraud or gross negligence).

16. Indemnification

You agree to indemnify and hold harmless equipments.rent, its officers, employees, and contractors from any claim, loss, liability, or expense (including reasonable lawyer’s fees) arising from your use of the Platform, your breach of these Terms, your content, or your conduct toward other users.

17. Termination

You may close your account anytime via Account Settings. We may suspend or terminate your account for breach of these Terms, fraudulent or harmful conduct, or as required by law. Sections that by their nature survive termination (e.g. liability, indemnity, dispute resolution, intellectual property, retention of records) will continue to apply.

18. Changes to These Terms

We may update these Terms. Material changes will be communicated by email and posted here at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance. If you do not agree, you may close your account.

19. Governing Law and Venue

These Terms are governed by the laws of the Republic of the Philippines without regard to conflict-of-law principles. Any dispute that cannot be resolved between the parties will be brought exclusively in the courts of Makati City, Metro Manila.
